Acceptance of Terms
Welcome to Nima Care Inc. (“Nima Care,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our in-home caregiving services, our website, and any related interactions (collectively, the “Services”). By requesting, accepting, or using our Services, you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you are agreeing on behalf of another person (a legal guardian or authorized representative), you represent and warrant that you have the authority to bind that person to these Terms.

1. Services Provided
Nima Care Inc. provides non-medical, in-home companion and personal care services to the elderly and individuals with special needs. Our services are outlined in a customized Plan of Care and may include, but are not limited to:

  • Companionship and socialization
  • Assistance with Activities of Daily Living (ADLs) such as bathing, dressing, grooming, and mobility
  • Meal preparation and feeding assistance
  • Medication reminders
  • Light housekeeping related to the client’s care
  • Transportation assistance for errands and appointments
  • Respite care for family caregivers

Nima Care staff are NOT licensed medical professionals and do not perform skilled medical procedures such as injections, wound care, or catheter care. The specific duties and schedule will be detailed in the Client’s individualized Plan of Care.

2. Client Responsibilities
To ensure a safe and effective care environment, the Client and/or the Client’s representative agrees to:

  • Provide Accurate Information: Disclose all relevant medical, physical, and behavioral conditions of the Client.
  • Maintain a Safe Environment: Provide a safe home environment for the caregiver, free from hazards, violence, and illegal activities.
  • Cooperate with the Care Plan: Cooperate with the developed Plan of Care and the assigned caregiver.
  • Financial Obligations: Pay for services promptly as outlined in the Service Agreement.
  • Respectful Conduct: Treat all Nima Care employees with dignity and respect. We maintain a zero-tolerance policy for abuse, harassment, or discriminatory behavior towards our staff.

3. Service Fees and Payment

  • Fees: Service fees are detailed in the Service Agreement. Rates are typically based on the level of care required and the duration of visits.
  • Billing and Payment: Invoices are issued weekly/bi-weekly. Payment is due within 15 days of the invoice date.
  • Late Payments: Late payments may be subject to a finance charge of 1% per month or the maximum rate allowed by North Carolina law.
  • Cancellation Policy: We require 24 hours’ notice for cancellation of a scheduled shift to avoid being charged for the scheduled hours.

4. Caregiver Assignment and Substitution
Nima Care will make every effort to assign a suitable caregiver and maintain consistency. However, we reserve the right to assign, reassign, or substitute caregivers at our discretion due to scheduling conflicts, caregiver availability, or emergencies. We will make reasonable efforts to notify the Client of any permanent change.

5. Limitations of Liability
To the fullest extent permitted by North Carolina law, Nima Care Inc.’s total liability for any claim arising from the Services provided shall be limited to the amount paid by the Client for the services rendered in the one month prior to the event giving rise to the claim. Nima Care shall not be liable for any indirect, special, incidental, or consequential damages.

The Client acknowledges that no caregiver can be monitored 100% of the time. The Client and/or their representative assumes responsibility for the Client’s well-being when the caregiver is not present or is engaged in other approved duties.

6. Termination of Services
Either party may terminate the Services upon 30 days written notice to the other party. Nima Care reserves the right to terminate Services immediately for, including but not limited to, the following reasons:

  • Non-payment of fees.
  • Abuse, mistreatment, or harassment of our staff.
  • An unsafe or illegal home environment.
  • A material breach of these Terms of Service.
  • The Client’s needs exceed the scope of non-medical care we can safely provide.

7. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Wake County, North Carolina, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

The parties agree to attempt to resolve any dispute through informal negotiation for at least 30 days before initiating any formal proceedings.

8. Entire Agreement
These Terms of Service, along with the separately executed Service Agreement, Plan of Care, and our Privacy Policy, constitute the entire agreement between you and Nima Care Inc. and supersede all prior communications, agreements, and understandings, whether written or oral.

9. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide you with written notice of any material changes at least 30 days in advance. Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance of the changes.
